Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the CloudAIAgents website and service operated by VIET PICKLEBALL JOINT STOCK COMPANY (“CloudAIAgents”, “we”, “us”). By creating an account or by connecting a Meta account to CloudAIAgents, you agree to these Terms. If you are using CloudAIAgents on behalf of an organisation, you represent that you have authority to bind that organisation, and “you” includes both you and that organisation.

1. Service description

CloudAIAgents is a B2B SaaS that lets you delegate operations on Facebook Pages, Instagram Business accounts and Threads profiles to AI Agents (Reply Agent, Content Agent, Insight Agent, Compliance Agent). CloudAIAgents interacts with Meta exclusively through the official Meta Graph API and Webhooks. CloudAIAgents is independent and is not affiliated with, endorsed by, or sponsored by Meta Platforms, Inc.

2. Eligibility

  • You must be at least 18 years old and capable of forming a binding contract.
  • You must have the right to grant CloudAIAgents access to every Meta asset you connect.
  • You must comply with all applicable laws and with Meta’s Platform Terms, Community Standards, Advertising Policies and Developer Policies.

3. Your account

You are responsible for safeguarding your credentials and for all activity under your account. Notify us immediately at security@cloudaiagents.net if you suspect unauthorised access. We may suspend accounts that show signs of compromise.

4. Acceptable use

Your use of CloudAIAgents is additionally governed by our Acceptable Use Policy, which is incorporated by reference. The AUP spells out — in detail — what counts as spam, abuse, platform-policy evasion and other prohibited conduct. You agree not to, and not to permit anyone to:

  • Use CloudAIAgents to send spam, harass, deceive or harm users, including by impersonating others or sending bulk unsolicited messages.
  • Publish content that violates Meta’s Community Standards or applicable law.
  • Use the AI Agents to generate or distribute disinformation, hateful content, sexual content involving minors, or content that incites violence.
  • Reverse engineer, decompile or attempt to extract the source code of CloudAIAgents, except where local law expressly permits.
  • Scrape Meta surfaces, automate the Meta web UI or bypass platform rate limits.
  • Resell CloudAIAgents or expose it as a competing service without a written agreement.

Enforcement is strict. Spamming or violating the destination platform’s policies will result in immediate suspension and, on confirmed or repeat offences, permanent termination without refund. We cooperate with Meta and, where appropriate, law enforcement on enforcement actions. Respecting the platforms and the people you reach through them is not optional — it is the price of admission. 5. AI-generated content

You are responsible for reviewing AI-generated drafts before they are published. Default workflow is human-in-the-loop. If you enable auto-publish, you accept the additional risk and agree that the Compliance Agent’s screening is a safeguard — not a guarantee. CloudAIAgents is not liable for content you authorised to publish.

6. Subscription, fees and billing

  • Plans, included usage and prices are described on /pricing.
  • We bill in advance on a monthly or annual cycle through Stripe.
  • Overages (e.g. extra AI messages) are billed in arrears at the rates shown in your dashboard.
  • Fees are non-refundable except where required by law or expressly stated.
  • You can cancel at any time; cancellation takes effect at the end of the current billing period.

7. Data and privacy

Our handling of personal data is governed by our Privacy Policy and our Data Processing Addendum (available on request). You retain ownership of the content you publish through CloudAIAgents; you grant CloudAIAgents a worldwide, non-exclusive, royalty-free licence to host, transmit and process that content solely to deliver the service.

8. Third-party services

Connecting Meta or other third-party services means you also agree to those services’ terms (e.g. Meta Platform Terms). CloudAIAgents is not responsible for third-party services or for changes they make that affect CloudAIAgents functionality.

9. Beta and previews

Features labelled “beta”, “preview” or “experimental” are provided as-is, may change without notice, and may be withdrawn at any time. They are excluded from any service-level commitment.

10. Service level

We target 99.9% monthly availability for paid plans, excluding scheduled maintenance and force-majeure events. The full Service Level Agreement is included in our DPA for enterprise customers.

11. Intellectual property

CloudAIAgents, its trademarks, the AI Agent designs, the dashboard UI and all related materials are our property or that of our licensors. Nothing in these Terms transfers any IP to you beyond the limited right to use the service.

12. Disclaimers

The service is provided as is and as available. To the maximum extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose and non-infringement. AI output may be inaccurate; you must review it before relying on or publishing it.

13. Limitation of liability

To the maximum extent permitted by law, CloudAIAgents’s total liability arising out of or related to these Terms or the service is limited to the greater of (i) the fees you paid in the 12 months preceding the event giving rise to the claim and (ii) USD 100. In no event will we be liable for indirect, incidental, consequential, special or punitive damages or loss of profits, revenue, data or goodwill.

14. Indemnification

You will defend and indemnify CloudAIAgents against third-party claims arising from your content, your breach of these Terms, or your violation of applicable law or Meta policies.

15. Suspension and termination

Either party may terminate for material breach not cured within 15 days of written notice. We may suspend the service immediately to protect users, comply with law or respond to a Meta enforcement action. Upon termination, your right to use the service ends; sections that by their nature should survive (IP, disclaimers, liability, indemnification, governing law) survive.

16. Governing law and disputes

These Terms are governed by the laws of the Socialist Republic of Vietnam, without regard to conflict-of-law rules. Disputes will be resolved exclusively by the competent courts of Ho Chi Minh City, Vietnam, unless your local law requires a different forum.

17. Changes

We may change these Terms with at least 30 days’ notice for material changes. Continued use after the effective date constitutes acceptance.
